1. Introduction

1.1 We are pleased to invite your organisation to register interest in the disposal of the remaining assets of the above company which may be of particular interest to the business you conduct.

Our company has been engaged to assist the Liquidators in the sale of stock and assets that resulted from the discontinuation of a major contract for turnkey supply of a digital radio network that was due to be commissioned in Western Australia.

This document explains the process by which it is intended to offer for sale an extensive list of communications equipment, ancillary items and relocatable equipment shelters comprising the network.

2. Background

2.1 Simoco was contracted to supply a government department with a turnkey state of the art digital trunked radio network in 2002. The system comprised a 23 site TETRA (Terrestrial Trunked Radio ) high availability Network , microwave transmission network, Network management system, site power supply and battery systems and relocatable site shelters, complete site antenna networks with diplexing/mulicoupling and an initial quantity of TETRA handheld and mobile terminal units. Prior to the company entering liquidation all items of equipment were assembled in Perth having completed manufacturers component factory testing, rack /cabinet assembly and testing and preliminary site configuration testing and were ready for field deployment. Only 2 sites of equipment and some radio terminals were deployed for field trialing, the balance of items have been stored in a warehouse awaiting deployment. Warehouse conditions were suitable for this type of equipment.

2.2 The Tetra Network and mobile terminals were supplied from the European operations of Simoco Digitals Systems, all other items were sourced from external third party manufacturers.

3. Summary Of Equipment and Assets

3.1 The extensive list of items fall into the following categories:

3.2 A complete list of items in each of these main categories and sub categories is provided in Appendix 1. The list identifies the manufacturer, model and /or brief description details and quantities of items available in each category or sub category lots.

4. Sale And Disposal Process

4.1 This Expression Of Interest and registration is the preliminary stage to establish interest from the market for the purchase of the entire system, sub system element lots and/or individual items. Preference may be given to organisations willing to bid for entire category lots and the subsequent Call For Bids may be structured around such preferences. While the preference of Simoco is for the sale of larger lots or the entire system, organisations who have an interest in sub-lot quantities are encouraged to nominate their interest through this EoI registration process. The EoI registration form and schedule of items allows for both scales of interest to be nominated.

4.2 EoI registrants are required to nominate in the EoI registration form if they require an inspection of the goods in Perth prior to the proposed closing dates for bids. Subject to the EOI response and availability of parties to attend in Perth we will nominate a day early in July when an inspection could be arranged.

4.3 Once EoI registrations have closed registrants will be advised of the exact bid process and be provided with the relevant forms to allow submission of the best offer for purchase of the items.

4.4 The proposed schedule for the process is summarised below under Sections 5-7 (inclusive.)

5. Lodgement Of Expressions Of Interest

5.1 Lodgement Of Expression of Interest must be made on the attached Registration Form (refer Appendix 1 ) along with the completed Item Schedule (refer Appendix 2.) These Forms must be sent to the contact address below or via email with signed fax or mailed confirmation received no later than close of business on 4th July 2003. Simoco and its liquidators reserves the right, but is not obliged, to accept additional expressions of interest and other offers subsequent to the EoI closing date.

5.2 Inspection of goods in Perth.
It is intended to allow registrants access to the 2 warehouse locations in Perth on a date to be nominated prior to the final bid closing date . This date will be advised to those respondents indicating their desire to attend such an inspection in the Registration Form.

6. Schedule

The following schedule is proposed for the process.
6.1 Lodgement Of Expressions Of Interest by 4th July 2003.
6.2 Notification of Bidding by 10th July 2003.
6.3 Inspection Of Goods In Perth on date to be confirmed prior to 25th July 2003.
6.4 Closing Of Final Offers by 25th July 2003.
6.5 Advice Of Successful Bidders by approximately 8th August 2003.

7. Proposed Conditions Of Sale

7.1 All items are offered in "as is condition" and subject to the conditions of sale listed below and in Appendix 3..

7.2 All items are currently warehoused in Perth Western Australia and would be made available for collection by the purchasers nominated carrier at these locations unless otherwise agreed in writing by Simoco.

7.3 The cost of packaging for local or overseas transport will borne by the purchaser unless otherwise agreed in writing by Simoco.

7.4 Simoco reserves the following rights:
(a) to reject any bid or expression of interest, without giving any reasons;
(b) to alter or amend the sale process, including any time lines; and
(c) to amend any conditions of sale.

9. Appendix 1 Expression Of Interest Lodgement Form and Summary Schedule Of Items

The linked registration form requires completion by those organisations wishing to make offers for some or all the items listed in the summary Schedule Of Items. Registrants must complete the form including their nomination of items/lots of equipment in which they wish to register an interest to bid (refer Appendix 2). The completed forms must be emailed, faxed or mailed to the addresses given under section 8 of this document, no later than close of business 4th July 2003.
